TERMS OF SERVICE

1. Acceptance of terms

By accessing or using the Kit Funder platform (“the Service”), you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including club administrators, team members, and kit suppliers (“Business Users”). References to “you” apply to all user types unless stated otherwise.

2. The Service

Kit Funder provides a digital platform that enables:

• Sports clubs and teams to create kit campaigns, invite members, and collect individual contributions towards group kit orders.
• Business Users (kit suppliers and sportswear brands) to receive group orders with pre-collected payments via a branded portal.
• Members to pay their share of a kit order using a unique share code.

Kit Funder acts as a payment collection facilitator, not as a party to the contract between kit suppliers and clubs or their members.

3. Your account

To use the Service, you must create an account with accurate and complete information. You are responsible for:

• Maintaining the security of your account credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised access at info@kitfunder.ai.

You must be at least 18 years old to create an account or place orders. By registering, you confirm you meet this requirement.

4. Payments and refunds

All payments are processed securely by our third-party payment processor (Stripe). By making a payment, you authorise Kit Funder to instruct Stripe to process your payment card.

• Campaign contributions: payments made by team members are held until the campaign target is reached, at which point the order is placed with the supplier.
• Failed campaigns: if a campaign does not reach its target by the deadline, all contributions will be refunded in full.
• Refunds: once a kit order has been placed with a supplier, contributions are non-refundable unless the supplier is unable to fulfil the order.
• Business Users: Kit Funder’s service fees are non-refundable once a campaign has been activated.

Any disputes regarding payments or orders should be raised with us at info@kitfunder.ai within 30 days of the transaction.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in a way that violates applicable regulations.
• Misrepresent your identity, organisation, or relationship with any kit supplier or club.
• Attempt to access accounts or data belonging to other users.
• Transmit malware, spam, or other harmful content via the platform.
• Use automated scripts or bots to interact with the Service.
• Reproduce, resell, or sublicense any part of the platform without written consent from Kit Funder Limited.

6. Intellectual property

All content, branding, and software forming the Kit Funder platform are the property of Kit Funder Limited or its licensors and are protected by UK and international intellectual property laws.

You retain ownership of any content you submit (e.g. kit designs, campaign descriptions), but grant Kit Funder a non-exclusive, royalty-free licence to use that content to provide and promote the Service.

7. Limitation of liability

To the maximum extent permitted by law, Kit Funder Limited shall not be liable for:

• Indirect or consequential losses, including loss of revenue, profits, or data.
• Failures or delays caused by third-party services (including payment processors or kit suppliers).
• Inaccuracies in kit descriptions or specifications provided by Business Users.

Our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid to Kit Funder in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.

8. Termination

We reserve the right to suspend or terminate your access to the Service at any time if you breach these Terms or if we reasonably believe your use poses a risk to us, other users, or third parties.

You may close your account at any time by contacting info@kitfunder.ai. Closing your account does not affect any outstanding payment obligations or active campaign contributions.

9. Changes to these terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page and, where the changes are material, notify you by email. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

10. Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
